Agreement to Terms
By accessing shankcloud.com or engaging Shank Tech LLC, you agree to these Terms. If you disagree, do not use the site or services.
Services
Shank Tech LLC provides software development, AI consulting, data analysis, machine learning, email API integration, cloud & DevOps, API development, and process automation services.
Specific scope, deliverables, timelines, and fees are defined in a separate written agreement or statement of work (SOW), which prevails over these Terms for that engagement.
Engagements & Payment
Project terms, pricing, and payment schedules are set in each SOW. Invoices are due as specified; late payments may incur fees or pause work.
Intellectual Property
Upon full payment, ownership of custom deliverables transfers to the client as defined in the SOW, except for pre-existing tools, libraries, and frameworks, which remain ours and are licensed to you.
Website content and branding remain the property of Shank Tech LLC.
Client Responsibilities
You agree to provide timely access, information, feedback, and approvals needed to perform the services, and to ensure you have rights to any materials you provide.
Confidentiality
Both parties agree to protect each other's confidential information and use it only for the engagement.
Warranties & Disclaimers
Services are provided with reasonable skill and care. Except as expressly stated, the site and services are provided "AS IS" without warranties of any kind, to the maximum extent permitted by law.
Limitation of Liability
To the maximum extent permitted by law, Shank Tech LLC's total liability is limited to the fees paid for the relevant engagement; we are not liable for indirect, incidental, or consequential damages.
Indemnification
You agree to indemnify Shank Tech LLC against claims arising from your misuse of the services or breach of these Terms.
Term & Termination
Either party may terminate an engagement per the SOW; you remain responsible for fees for work performed up to termination.
Governing Law
These Terms are governed by the laws of Kentucky, USA, without regard to conflict-of-law rules.
Changes to Terms
We may modify these Terms; continued use after changes constitutes acceptance.
